(TSX VENTURE: FPC) (“Falco” or the “Company) is pleased to confirm that the Company has elected to accelerate to July 17, 2016 the expiry date of 2,312,500 warrants (the “Warrants”) issued as part of the July 22, 2015 private placement completed with strategic Québec Funds and Osisko Gold Royalties Ltd. and which were originally set to expire on July 22, 2017. Each Warrant may be exercised to acquire one common share of Falco at $0.52, for gross proceeds to Falco of up to C$1.2 millionassuming all Warrants are exercised.
Under the terms of the Warrants, Falco is permitted to accelerate their expiry date if the volume weighted average trading price of the Company’s common shares listed on the TSX-V is at or above C$0.65 for twenty consecutive trading days (the “Acceleration Event”). Falco is pleased to confirm that an Acceleration Event occurred as of June 16, 2016. Accordingly, Falco has chosen to accelerate the expiry date of the Warrants to July 17, 2016.
